Terms and Conditions
These Terms and Conditions apply to all services provided by JunglEcho Ltd (“JunglEcho”, “we”, “us”, “our”) to the client (“Client”, “you”, “your”), unless otherwise agreed in writing.
These Terms should be read together with any:
proposal
package sheet
scope of work
invoice
onboarding form
written approval
change request
Together, these form the full agreement between JunglEcho and the Client.
Services
JunglEcho provides creative and digital services, which may include:
website design and development
website hosting and care
search engine optimisation
blog and article creation
landing pages and funnels
videography and photography
drone footage
social media content and management
branding and visual design
pitch decks, brochures and supporting materials
other related creative or digital services as agreed
Only the services specifically listed in the agreed scope are included.
Scope of Work
The exact scope of each project will be defined in the relevant proposal, package, scope of work or written confirmation.
The scope may include:
number of pages
number of revisions
CMS requirements
forms and integrations
content requirements
SEO setup
delivery timeframes
support level
exclusions
Anything not specifically stated as included is excluded and may be quoted separately.
Client Responsibilities
The Client agrees to provide all necessary information, materials, access and approvals required for the project, including where relevant:
logos and brand assets
written content
images and video
service and business information
testimonials
domain and DNS access
email access
analytics or third-party platform access
timely feedback and approvals
The Client acknowledges that project timelines depend on receiving these items on time.
Project Timelines
Any timeline given by JunglEcho is based on:
the agreed scope
prompt communication
timely feedback
required content and access being supplied on time
Timelines are estimates unless specifically stated otherwise.
JunglEcho is not responsible for delays caused by:
missing content
missing access
slow approvals
additional requests
late payments
change in project direction
third-party platform delays
circumstances outside our reasonable control
Revisions
Unless stated otherwise, all standard website and design projects include 2 rounds of revisions.
A revision round means one consolidated set of feedback from the Client on the relevant deliverable.
The following are not treated as standard revisions and may incur additional charges:
additional pages or sections
new features or functionality
major design direction changes
rewritten briefs after work begins
piecemeal or repeated feedback beyond the agreed rounds
work requested after sign-off
Additional revisions will be quoted separately unless included in the agreed package.
Change Requests
Any request outside the agreed scope will be treated as a change request.
JunglEcho may:
quote the extra work separately
move it into a later phase
add it to a monthly plan where suitable
No additional work will begin until the revised scope and fee are approved in writing.
Fees and Payment Structure
All fees will be set out in the agreed proposal, invoice or package confirmation.
Unless stated otherwise:
Projects under £3,000:
50% deposit to begin
50% before launch or final delivery
Projects over £3,000:
50% deposit to begin
25% at design or homepage sign-off
25% before launch or final delivery
Monthly plans:
billed monthly in advance
begin on the agreed date
continue for the agreed minimum term where applicable
Work will not begin until the required initial payment has cleared.
JunglEcho reserves the right to pause work if staged payments are not made on time.
Project Overrun and Delay Charges
The project timeline stated in the proposal or scope of work is based on the Client providing all required content, approvals, access and feedback within the agreed timeframe.
If a project extends beyond the agreed delivery window due to:
delayed content from the Client
delayed feedback or approvals from the Client
repeated inactivity by the Client
additional requests outside the agreed scope
non-payment or delayed payment by the Client
any other delay caused by the Client
JunglEcho reserves the right to apply an overrun charge of 5% per week, calculated on a compounding basis against the total project value.
For example, if the original project total is £500 and the project overruns by 5 weeks with a 5% weekly compounded increase, the revised total would be £638.14.
JunglEcho will notify the Client in writing before any overrun charge is applied.
If the Client causes a delay of more than 7 days, JunglEcho may pause the project and reschedule the remaining work based on current availability.
If the delay continues for more than 14 days, the overrun charge may begin to apply.
Practical Completion and Final Invoice
Once both Parties agree that the project is:
complete
substantially complete
ready to go live subject only to minor non-material adjustments
JunglEcho will issue the final invoice.
That invoice must be paid within 14 days of the invoice date.
JunglEcho is not required to launch, transfer, hand over or complete the final delivery until all outstanding fees are paid in full.
If payment remains outstanding, JunglEcho may issue a new overdue invoice or account statement after 5 weeks.
. Late Payment
If payment is late, JunglEcho may, at its sole discretion:
pause all work
delay launch or handover
withhold final files, transfer, access or delivery
suspend hosting or support-related activity where permitted
reschedule the project based on availability
terminate the project for non-payment
Where the project is delayed by non-payment, any overrun or holding charges may still apply if the delay affects production time and delivery scheduling.
All overdue invoices remain payable in full.
. Termination for Non-Payment or Project Breakdown
If payment is not made within the stated invoice period, JunglEcho may choose either to:
Option A — Delay and Pause
Pause the project until all overdue sums are paid and only resume once the account is up to date.
Option B — Terminate
Treat the project as terminated and stop all work permanently.
If JunglEcho terminates the project due to non-payment:
all work completed up to the termination date remains payable
the deposit remains non-refundable
JunglEcho has no obligation to deliver, launch, transfer or complete the project
access, files, domains or handover materials may be withheld until the balance is cleared
. Hosting and Third-Party Costs
Where hosting, subscriptions or external tools are included, the specific level will be based on the agreed package.
The Client acknowledges that:
third-party software costs may change
domain fees may renew separately
premium tools or add-ons may carry extra charges
hosting does not include unlimited support unless explicitly stated
If JunglEcho manages hosting on the Client’s behalf, that service only includes what is listed in the relevant care plan or package.
. Monthly Care and Retainer Services
Where the Client is on a monthly care plan or retainer, JunglEcho will provide only the services listed in that plan.
Unless otherwise agreed:
unused requests do not roll over
monthly plans do not include unlimited changes
work outside the stated deliverables may be quoted separately
JunglEcho reserves the right to review monthly plans periodically and propose revised pricing where the scope or workload has materially changed.
. Client Content and Accuracy
The Client is responsible for ensuring that all text, claims, service descriptions, images, prices, legal pages, policies and business details supplied to JunglEcho are accurate and lawful.
JunglEcho is not liable for errors in content provided by the Client.
. SEO and Marketing Disclaimer
JunglEcho may provide SEO, content or marketing-related services, but does not guarantee:
specific rankings
traffic levels
enquiry volume
lead quality
sales or revenue outcomes
Performance depends on many factors outside JunglEcho’s control, including:
the Client’s offer and reputation
search engine algorithm changes
competition
seasonality
market conditions
client responsiveness
. Intellectual Property
Once all project fees have been paid in full, the Client will own the final approved deliverables created specifically for them under the agreed scope.
JunglEcho retains ownership of:
internal systems
reusable frameworks
templates
code libraries
processes
design methods
non-exclusive internal assets
Third-party items such as:
fonts
stock assets
licensed plugins
software tools
platform infrastructure
remain subject to the original provider’s licensing terms.
. Portfolio Rights
JunglEcho may display completed work in its portfolio, social media, presentations or case studies unless the Client requests confidentiality in writing before the project begins.
Client Delays and Project Pauses
If the Client becomes unresponsive for more than 14 days, JunglEcho may pause the project.
If the pause continues for more than 30 days, JunglEcho may:
reschedule the project based on current workload
apply project overrun charges where appropriate
close the project administratively until the Client is ready to continue
Any restart date will be subject to current availability.
. Cancellations
By the Client
If the Client cancels after work has begun:
the deposit is non-refundable
all completed work up to that point remains chargeable
any third-party costs already incurred remain payable
JunglEcho is not required to provide incomplete working files or editable source files unless agreed in writing.
By JunglEcho
JunglEcho may cancel or terminate the project if the Client:
fails to pay on time
behaves abusively or unreasonably
repeatedly delays the project
fails to provide required materials
requests unlawful or inappropriate use of the services
In that case, all work completed up to the termination date remains payable.
. Limitation of Liability
JunglEcho will provide services with reasonable care and skill.
To the fullest extent permitted by law, JunglEcho’s total liability arising out of or in connection with the services shall not exceed:
the total project fees paid for the relevant project, or
the fees paid in the previous 3 months for a monthly service, where relevant
JunglEcho shall not be liable for:
indirect or consequential loss
loss of profit
loss of revenue
loss of opportunity
business interruption
third-party platform failures
hosting outages outside our control
client-side edits or misuse after delivery
Nothing in these Terms excludes liability where it cannot legally be excluded.
. Confidentiality
Each Party agrees to keep confidential any commercially sensitive information shared during the course of the work, unless:
disclosure is required by law
the information is already publicly known
the other Party gives written consent
. Data Protection
Where personal data is involved, both Parties agree to comply with applicable UK data protection law.
The Client remains responsible for ensuring their own website policies, privacy notices, cookies and legal disclosures are suitable for their business.
. Communication and Approvals
JunglEcho may use:
email
shared documents
messaging platforms
recorded walkthroughs
video calls
for communication, feedback and approvals.
Any approval given by email, message or recorded call may be treated as valid approval for the relevant stage of work.
. Force Majeure
Neither Party shall be liable for delay or failure to perform obligations where caused by events beyond reasonable control, including:
serious illness
internet or platform outages
government restrictions
severe weather
power failure
supplier failure
other unforeseen events
. Entire Agreement
These Terms, together with any proposal, scope of work, package confirmation, invoice or written approval, form the full agreement between JunglEcho and the Client.
Any previous discussions or understandings are superseded unless expressly included in writing.
. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
